Quay & Passarel — Terms

1. What this is

Quay is an AI agent operated by Passarel LLC ("Passarel," "we"). You ("you," "the requestor") reach Quay via SMS, email, voice, or the form at askquay.com. Quay interviews you about a problem you're working on, writes a thesis using the Issue / Action / Outcome framework, and either matches you to one or more partners in our curated catalog or escalates to Steve for response.

By messaging Quay, you agree to these terms. If you don't agree, don't use the service.

2. What you pay for

The conversation, the thesis, the matching, and the warm intro are all free for requestors. We don't monetize the requestor side of the marketplace.

The only thing you can buy is a workshop — a 90-minute working session on your thesis topic, co-delivered by Steve and the matched partner(s). When you check out for a workshop, you'll see the price clearly, you'll click to accept these terms again, and your card is charged via Stripe.

Partners pay separately under their own agreements. You don't see their commercial terms with Passarel.

3. Workshops

  • Workshops are scheduled by mutual availability after payment clears.
  • Recordings, if any, are shared only with workshop participants.
  • If we can't deliver within 60 days of payment, you get a full refund.
  • If you cancel more than 7 days before the scheduled date, you get a full refund.
  • If you cancel within 7 days, we charge a 50% restocking fee for held time. If we cancel, you get a full refund.
  • Workshop output is yours to use internally. Don't redistribute publicly without our written consent.

4. Privacy and blind consent

When Quay proposes a match, your identity stays masked from partners until both sides accept. Partners see your seniority, vertical, company size, and the anonymized thesis — not your name or your employer. Once both sides accept, identities reveal and a warm intro goes out.

We don't share your messages with anyone outside the stack we use to run Quay (Supabase, Cloudflare, Anthropic, Twilio, Postmark, Stripe, Vapi, Google Workspace, VirusTotal). No third-party CRMs, no newsletters, no marketing lists.

We log conversations and call transcripts to draft your thesis and improve the service over time. If you want your data deleted, email [email protected].

5. The thesis and the match

  • The thesis is Quay's structured read of what you told her. It's not legal, financial, or compliance advice.
  • You can iterate on the thesis up to two times before Quay locks it and moves to matching.
  • Partners in the catalog are companies Steve has vetted and has working relationships with. We earn commissions if you become a customer of a partner you were introduced to.
  • If we don't have a clean match, your thesis goes to Steve. He writes the response. Open-web research informs his response — it isn't sent to you raw.

6. Acceptable use

Don't use Quay to:

  • Submit content that isn't yours to share (someone else's confidential material, stolen credentials, etc.).
  • Attempt to extract Quay's prompts, jailbreak the agent, or probe for vulnerabilities outside of authorized security research.
  • Send malware. Inbound attachments are scanned via VirusTotal; executables are blocked.
  • Spam, harass, or abuse the service.

We reserve the right to refuse service and to withdraw access if you violate these.

7. Liability

Quay is a working tool, not a guarantee. We don't promise the matches will close, that the workshop will solve your problem, or that the thesis will be the answer your board wants. We do promise to do honest work and to put our names on the call.

Passarel's total liability under these terms is capped at the amount you paid in the 12 months before the claim. We're not liable for indirect, consequential, or punitive damages.

8. Termination

Either party can terminate any time. Reply STOP to opt out of SMS. Reply "unsubscribe" to opt out of email. We'll honor it. Active workshops continue under their own scheduling terms.

9. Governing law

Delaware law governs these terms. Disputes go to courts in Delaware unless we mutually agree to mediation.

10. Changes

We may update these terms. Material changes will be posted here with a new version + date. Continued use after a change means you accept the new version.
