MUTUAL NON-DISCLOSURE AGREEMENT (PLACEHOLDER)

This is a placeholder mutual non-disclosure agreement. The final text will be
substituted with an attorney-reviewed Passarel MNDA before any client signatures
are relied upon. By signing below, you acknowledge that this text is illustrative
and that a final NDA will govern any sharing of confidential information between
you and Passarel LLC.

1. Definitions. "Confidential Information" means any non-public information
   exchanged between the parties in connection with this engagement, including
   but not limited to: strategic plans, technical architectures, customer data,
   vendor evaluations, internal documents, and meeting notes.

2. Mutual Obligation. Each party agrees to: (a) hold Confidential Information
   in confidence; (b) not disclose it to third parties without written consent;
   and (c) use it solely for the purpose of the engagement described.

3. Exclusions. Confidential Information does not include information that is
   publicly available, was independently developed, or was rightfully obtained
   from a third party without restriction.

4. Term. This agreement remains in force for two (2) years from the signature
   date below, after which standard confidentiality customs apply.

5. Governing Law. Delaware.

By signing below, the undersigned represents authority to bind the named
organization to the terms above.
